Terms of Service
The terms that apply when you use our website and engage Technocrypt for services.
Last updated Oct 19, 2026
1. Who you contract with
These terms are between you and the Technocrypt company that serves your region:
- Technocrypt LLC, a Florida limited liability company, 4604 49th Street N #5270, St. Petersburg, FL 33709, United States — for clients and visitors in the United States and everywhere outside India.
- Technocrypt Private Limited, a company incorporated in India, Office No. 204, D-35, Block D, Veer Savarkar Block, Near Laxmi Nagar Metro Station, Laxmi Nagar, Delhi 110092, India — for clients and visitors in India.
Any proposal, statement of work (“SOW”) or order you sign with us forms part of your agreement. If it conflicts with these terms, the signed document prevails.
2. Using our website
- You may use this website for lawful business purposes and in line with our Acceptable Use Policy.
- Our free tools give estimates only. They are not financial, legal or marketing advice, and results depend on the numbers you enter.
- Articles and resources are for general information. We keep them accurate but they may become outdated.
3. Our services
- Scope. Each engagement is defined in an SOW: deliverables, milestones, assumptions and fees. Changes are agreed in writing and may affect timelines and fees.
- Your part. You provide timely feedback, decisions, access to systems and content, and confirm you have the rights to the materials you give us.
- AI features. AI outputs can be incorrect or incomplete. We design for accuracy and safety, but you are responsible for reviewing outputs before relying on them for important decisions. Third-party AI models are subject to their providers' terms.
- Security testing. We only test systems after you confirm in writing that you own them or are authorised to have them tested.
4. Fees and payment
- Fees, currency and payment schedule are set in the SOW. Technocrypt LLC invoices in USD; Technocrypt Pvt Ltd invoices in INR and issues GST-compliant invoices.
- Unless the SOW says otherwise, invoices are due within 15 days. We may pause work on overdue accounts after giving notice.
- Fees exclude applicable taxes, which are added as required by law.
- Third-party costs (cloud hosting, licences, domains, paid APIs) are paid by you or passed through at cost.
5. Intellectual property
- Once you have paid in full, you own the deliverables created specifically for you.
- We keep ownership of our pre-existing materials, tools and general know-how, and grant you a perpetual, non-exclusive licence to use any of them included in your deliverables.
- Open-source and third-party components remain subject to their own licences, which we identify on request.
- We will only name you as a client or show your work with your permission.
6. Confidentiality
Each party keeps the other's confidential information private and uses it only for the engagement, during the engagement and for three years after it ends (indefinitely for trade secrets and personal data). We are happy to sign your NDA.
7. Data protection
When we process personal data on your behalf, we do so only on your documented instructions and will sign a data processing agreement on request. Our Privacy Policy explains how we handle our own data.
8. Warranties
We perform services with reasonable skill and care. If a deliverable does not materially meet the agreed specification and you tell us within 30 days of delivery, we will correct it at no extra cost. Apart from this and any warranty in your SOW, services and the website are provided “as is”, to the extent the law allows.
9. Limitation of liability
To the extent permitted by law, neither party is liable for indirect or consequential losses, or for loss of profits, revenue or data. Each party's total liability under an SOW is limited to the fees paid or payable under that SOW in the 12 months before the claim. Nothing limits liability that cannot be limited by law, such as for fraud or wilful misconduct.
10. Term and termination
Either party may end an SOW with 30 days' written notice, or immediately if the other materially breaches it and does not fix the breach within 15 days of notice. You pay for work done and approved expenses up to the end date.
11. Governing law and disputes
- If you contract with Technocrypt LLC: the laws of the State of Florida, USA, and the state and federal courts located in Pinellas County, Florida.
- If you contract with Technocrypt Private Limited: the laws of India, and the courts at New Delhi.
We will always try to resolve a disagreement informally first. If you are a consumer, nothing here removes rights you have under the mandatory laws of your country.

12. General
Neither party is liable for delays caused by events beyond its reasonable control. You may not assign these terms without our consent. If any part is unenforceable, the rest remains in effect. We may update these terms for future engagements; the version in force when you sign an SOW applies to it.
